Terms & Conditions

These Terms and Conditions govern the terms of the relationship between the users and customers (collectively “you” or “Users”) of Rowayton Press, LLC, its brands (collectively “The Publisher”) and the full suite of their products and services. We recommend that all Users read them carefully before entering into a relationship the Publisher as they are legally binding and non-negotiable. In accessing, using or subscribing to any of the Publisher’s products and services, Users agrees to be bound by and comply with the Terms and Conditions.

The Publisher reserves the right to change, modify, adapt and remove sections of these Terms and Conditions governing its business relationships with its Users at its sole discretion. The Publisher will not communicate any changes to these Terms and Conditions to the Users.  Users should check these Terms and Conditions periodically for any changes. By continuing to use the Publisher’s products and services after such changes have been posted constitutes the User’s acceptance of those changes.

These Terms and Conditions have been in effect from the effective date listed at the beginning of this document and supersede any and all prior versions.

General Terms

Placing Orders

Orders for any products or services can be made by telephone, email, fax, mail or online. Contact details can be found on the Publisher’s websites and on any sales and marketing materials used to promote the Publisher’s products and services. User orders become binding once the Publisher acknowledges the receipt of the User’s order with an order confirmation. The Publisher reserves the right to withhold a User’s access to a product or service until payment has been received.

Pricing and Invoicing

All pricing and invoices will be denoted in US dollars. The Publisher will not accept payments made using other exchange rates than those used by the Publisher or its banking providers. No refunds will be made on any perceived exchange rate differences.

All pricing is net of any Advertising or Marketing Agency commissions. If an agency’s commission is required, the value of that commission should be added to the listed prices. The Publisher is not responsible for paying these commissions.

The User will be responsible for paying any VAT or Sales taxes or any other applicable customs duties or other local taxes. These taxes and duties will not be quoted in any sales and marketing materials or websites owned by the Publisher.

The Publisher will endeavor to ensure that all pricing on its marketing materials and websites is accurate and consistent.  In a situation where there is an error in the pricing, the Publisher will contact the User to give you an option to either cancel the order or reconfirm the order at the correct price. If the User decides to cancel the order due to incorrect pricing and has already paid, the Publisher will issue a full refund.

Payments

The Publisher will charge the User in US dollars at the point of sale and no later than 30 days from the order date for any products and services the User acquires or subscribes to, unless prior consent and agreement is made by the Publisher. Payment is due immediately on receipt of an invoice. The Publisher will process the User’s order promptly, but makes no guarantees that the benefits of the product or service ordered will be available to the User by a specified time. Payment may be made by American Express, Mastercard or Visa or by a US dollar cheque or a wire transfer to the Publisher’s bank. Any fees charged to the User by the User’s credit card company or banking service provider in making payment for an order are the responsibility of the User.

Any discount eligibility for the Publisher’s products and services will be determined according to the terms of the discount offered or agreed to by the Publisher, and cannot be applied retroactively.

Refund Policy

No refunds will be made or pro-rated on any cancelled orders, whether they have been fulfilled or not.

Intellectual Property

The legal and beneficial interest in all copyrights, trademarks, service marks, design rights (whether registered or unregistered), database rights, proprietary information rights and other proprietary rights as may exist anywhere in the world together with the applications associated with any such rights (collectively “Intellectual Property Rights” or “IPR”) relating to the Material belong to the Publisher or the Publisher’s licensors or owner as indicated in the Material, as the case may be, at all times. The User obtains no Intellectual Property Rights in the products pursuant to or arising from these Terms and Conditions. The User shall indemnify Rowayton Press fully in respect of any infringement of IPR arising as a result of the User’s use of the product and any Material that is in breach of these Terms and Conditions and any Terms of Use.

Warranties

The Publisher makes all reasonable efforts to provide Users with the Material that matches the specification laid out in an Order Confirmation and accepted by us. The Publisher does not warrant that the content or service will meet the User’s requirements or that it will be complete, error free or delivered without interruption.  Except as expressly set out in these Terms and Conditions, all undertakings are excluded to the maximum extent permissible by law. The User assumes sole responsibility for the selection, suitability and use of a product or service and acknowledge that except as stated above we do not provide any additional warranties or guarantees relating to the Material. By using the Publisher’s products and services, the User agrees that the Material provided is only for general information and use and is not intended to address the User’s particular requirements. In particular, the Material does not constitute any form of advice, recommendation, representation, endorsement or arrangement by the Publisher or its employees and is not intended to be relied upon by Users in making or refraining from making any specific investment or other decisions. Appropriate independent advice should be ontained before making any such decisiosn.  Any agreements, transactions or other arrangements made between the User and any third party named on (or linked to from) any of the Publisher’s websites (“Sites”) are at the User’s sole discretion and responsibility.  Any information the User receives via the Sites, whether or not it is classified as real time, may have ceased to be current by the time it reaches you and any share price information may be rounded up/down and therefore not be entirely accurate. The Publisher is not responsible for any use of the Material by the User outside its scope as stated in these terms and Conditions.

Limitation of Liability

Rowayton Press shall not be liable for any direct, indirect of consequential loss, including loss of actual or anticipated profits, revenue, goodwill, anticipated savings or data, whether arising from negligence, breach of contract or otherwise. The Publisher’s liability in contract, tort or otherwise arising out of or in connection with the Agreement shall in respect of any one or more incidents not exceed the total payment received by us from you for the product or service used in the 12 months preceding the date the claim occurs. Users also accept that the Publisher has from time to time used sources in providing the Material whose legitimacy and accuracy we have used reasonable endeavors to confirm, and that if the User believes that any of the information contained in the Material is inaccurate or misrepresented, you will bring this to the notice of the Publisher and provide information to assist us in correcting any such deficiencies, and that the User will take no further action in law with respect to such alleged inaccurate or misrepresented information.  The Use further agrees that the Publisher will endeavor to rectify such deficiencies in good faith, and that such action will be deemed to fulfill our obligations to the User.

Additional Terms of Use

The User agrees to abide by the published Terms of Use for the Site.

Privacy Policy

The Publisher processes User information in accordance with the firm’s privacy policy.  When you use the site or placing an order you consent to such processing and you warrant that all data and information provided by you is current and up-to-date
